Introduction

This use agreement (hereafter "the agreement") governs the terms of use of any services (hereafter "the services") provided by Jinni's, Inc. (hereafter "the company") to LaNoote.com (hereafter "the Web site").

The consumer of the services (hereafter "the user") agrees to the terms of the Japanese version of the agreement. Any translation of the agreement is provided by the company for the user's convenience and reference, but the Japanese version retains binding force.

If use of the services is prohibited under the laws of Japan, the user's home country or any other country from which the services are accessed, the agreement is void and the services cannot be used.

The company may change this agreement without informing the user. Changes to the agreement enter effect from the time they are displayed on the Web site. After changes to the agreement, use of the services constitutes consent to the changes.

Definition of Terms

A user who purchases goods is a "buyer."

A user who sells goods is a "seller."

Anyone who creates handmade products is a "producer."

Any products that can be sold or displayed on the Web site, or products that have been consigned to a seller by a producer, are "goods."

Any purchase or sale of goods using the service or exchange between the parties concerned is a "transaction."

Use of Personal Information

Appropriate use of any personal information necessary to offer the service will be governed by the company's privacy policy.

Maintenance of the User Environment

The user bears sole responsibility and liability for any tools, software or other equipment, as well as all costs, including Internet connection fees, necessary to use the service.

Transactions on the Web Site

The company will not take part in any transactions except when the company is a buyer or seller. Transactions between buyers and sellers using the service are considered direct transactions. Accordingly, if any problem arises during a transaction, the interested parties (seller and buyer) will resolve it. The company bears no responsibility for any matter related to transactions.

Display and Sale of Goods

Users may display and sell goods under the conditions below.

The seller will offer all necessary information about the transaction, including a description of the goods to be sold and the conditions of the transaction, truthfully and clearly without omission.

The user bears all responsibility for the safe use and control of his or her own user ID and password.

User Obligations

The user uses the service at their own risk and with their own judgment, and bears all responsibility for their actions or any consequences that may arise as a result of their use of the service.

If the user becomes a party to a transaction, the user will carry out the transaction concerned speedily and without delay.

If a problem arises with a transaction the user is involved with, he or she must resolve the issue with the seller, buyer or other parties concerned.

If the user defames another party or infringes on the rights of another party, the user is responsible for resolving the issue at his or her own expense.

The user guarantees the company that no information the user discloses while using the service infringes on the rights of any third party.

The user recognizes that the company bears no responsibility for the safety of data on the service, and the user agrees to keep appropriate backups of necessary information.

Service Usage Fees

The company may levy various fees on sellers as usage fees for the service, subject to the agreement.

Prohibitions

Users may not engage in any of the following acts on the service. If a user does engage in behavior listed as prohibited, the company may take any necessary measures immediately and without notification, including termination of that user's account on the service and deletion of data in full or in part.

・Acts that infringe or may infringe upon intellectual property rights, including copyright and patent rights, held by the company or third parties

・Acts that infringe or may infringe upon the right to good name, reputation, privacy, publicity, or other rights of the company or third parties

・Illegal acts, or announcements, instructions or brokering of illegal acts, or other acts concerned with criminal activity or the violation of any law, or other acts that may fall under these prohibitions

・Any act that offends or may offend public order and morals or that would be judged socially inappropriate

・Acts that infringe or may infringe upon intellectual property rights, including copyright and patent rights, held by the company or third parties

・Acts that interfere or may interfere with operation of the service or with a third party, including unauthorized access, falsification of data, sending or posting harmful programs such as viruses, and placing an undue burden on the company's servers

・Acts that infringe or may infringe upon intellectual property rights, including copyright and patent rights, held by the company or third parties

・Acts that express or may express discrimination on any basis, including political affiliation, religion, race, ethnicity, sex, social status, place of residence, physical features, health, education or wealth

・Business or advertising activities or commercial activities on behalf of affiliates, except for those recognized by the company

・Acts that change the appearance of copyright notices or standard advertisements built into the service, except for those recognized by the company.

・Other acts judged inappropriate by the company.

Disclaimers

The company will work as hard it can to see that the service runs smoothly, but if additions, changes or losses of data, defects or other unforeseen problems do arise, it bears no responsibility for any damages to the user or a third party.

The company bears no responsibility for disputes between users. If a dispute does arise between users, the parties concerned must resolve it.

If the user commits an act that infringes on the rights of a third party, the user is responsible for resolving the issue at his or her own expense, and the company bears no responsibility or liability.

Barring a serious error, the company bears no responsibility or liability for damage caused by use of user IDs or passwords by third parties.

The company bears no responsibility for information posted by the user, including with regards to its legality, morality, credibility or veracity. The company also bears no responsibility for ensuring the user's compliance to internal regulations such as those of a corporate entity or organization to which the user belongs.

The company is not responsible for monitoring data disclosed by the user or for ensuring the safety of the user's data.

The company may inspect, copy or disclose to a third party the user's registration information and other data if a fault in the service must be corrected, or if an act that violates or may violate this agreement takes place, or if the company receives an official legal inquiry from a public institution such as a court or police department, or if it is judged necessary for the smooth operation of the service. The company bears no responsibility for any damages that may arise in such a case.

The company may suspend or terminate the service without prior notification to the user. However, in case of a suspension of all services, the company will post prior notification barring unanticipated circumstances such as natural disasters.

Compensation for Damages

If the company incurs damage or loss directly or indirectly as a result of the user's violation of the agreement, it may demand compensation from the user concerned.

Applicable Laws and Jurisdictions

The agreement is based on the laws of Japan, and in the event of any dispute over the terms of the agreement, all parties agree that the Tsu District Court will be the court of first jurisdiction.
